Article 1 (Application of Terms)

These Terms of Service (hereinafter referred to as the "Terms") apply to all users (hereinafter referred to as "Users") of the website "SHIZUKU" (hereinafter referred to as the "Website") and all accompanying services (including but not limited to email newsletters and other information services) operated by Seed Commerce TOKYO Co., Ltd. (hereinafter referred to as the "Company").

The Company may revise these Terms at any time without prior notice. Users shall be deemed to have consented to any revisions by continuing to use the Website or Services after such revisions are posted.

Any cautions or notices posted on the Website by the Company shall constitute a part of these Terms.

Article 2 (Changes, Suspension, and Termination of Services)

The Company may, at its sole discretion, change, suspend, or terminate the Website or Services, in whole or in part, at any time without prior notice to Users, even if such changes, suspension, or termination may cause disadvantage or damage to Users.

Article 3 (Disputes with Listed Businesses)

The Company shall not be liable for any disputes arising between Users and listed businesses (including disputes caused by inaccurate information provided by listed businesses) unless the Company is found to have acted with intent or gross negligence. Users are advised to resolve such disputes directly with the relevant listed business.

Article 4 (Temporary Suspension of Services)

The Company may temporarily suspend the Services without prior notice in the event of:
- Maintenance or updates to the Website or Services.
- Natural disasters, emergencies, or other events that make it difficult or impossible to operate the Website or Services.
- Other circumstances where the Company deems temporary suspension necessary for operational or other reasons.
- The Company shall not be liable for any damages incurred by Users due to the temporary suspension of the Services.

Article 5 (Disclaimer)

While the Company strives to provide accurate and reliable information and services on the Website, the Company makes no warranties of any kind, express or implied, regarding the following:
- The usefulness, completeness, accuracy, safety, legality, or up-to-dateness of any information on the Website (including information on third-party websites linked from the Website).

- That the Website, Services, or any products, services, or information obtained through them will meet Users' requirements or expectations.

- The continued availability or maintenance of the Website or Services in their current form.

The Company shall not be liable for any damages incurred by Users arising from the use or inability to use the Website or Services, unless such damages are caused by the Company's intent or gross negligence. Even in cases where the Company is liable, its liability shall be limited to direct and ordinary damages.

Article 6 (Prohibited Activities)

All copyrights to images, comments, and information on listed businesses posted on the Website belong to the Company or its licensors. Users are prohibited from using this information beyond the scope permitted by copyright law without prior consent from the Company.
Users shall not engage in any of the following activities:

- Registering false information.

If a User violates these Terms, the Company may suspend their use of the Services, revoke their membership, or take other measures, including legal action. Users shall be liable for any damages caused to the Company or third parties due to their violation of these Terms.

Article 7 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court.

Article 8 (Prohibited Activities)

The following activities are prohibited when using the Services:
- Infringing on the intellectual property rights of other Users or third parties.
- Violating the property or privacy of other Users or third parties.
- Defaming, slandering, or harassing other Users or third parties.
- Gaining unauthorized access to the Company's servers or transmitting harmful computer programs or emails.
- Using the Services for commercial purposes.
- Engaging in criminal activities.
- Using information obtained through the Services beyond the scope of personal use.
- Obstructing the operation of the Services or damaging the Company's or its partners' reputation.
- Conducting sales activities or providing information for profit.
- Confusing or deceiving the Company or its partners by providing false information or through threats.
- Failing to pay fees to listed businesses or the Company, or engaging in violent or other harmful behavior.
- Violating any laws, regulations, or these Terms.

Article 9 (Liability)

The Company shall not be liable for any damages arising from the use or inability to use the Services, unless such damages are caused by the Company's intent or gross negligence.

The Company shall not be liable for any disputes between Users and listed businesses.

Users shall be liable for any damages caused to the Company or third parties due to their violation of these Terms.

Article 10 (Handling of Personal Information)

The Company respects the privacy of Users and handles personal information in accordance with its Privacy Policy.

The Company may retain Users' personal information even after they have stopped using the Services or withdrawn their membership unless Users request deletion of their information in accordance with the Company's procedures.

Article 11 (Collection and Use of User Attributes and Browsing History)

The Company may collect and use Users' attribute information (age, gender, occupation, location, etc.) and browsing history for service improvement, statistical analysis, and personalized advertising. However, personally identifiable information will not be disclosed to third parties except as required by law.

Article 12 (Changes, Suspension, and Termination of Services) 

The Company may change, suspend, or terminate the Services, in whole or in part, at any time without prior notice. However, if the Company terminates the entire Service, it will provide Users with at least one month's notice.

The Company shall not be liable for any damages incurred by Users due to changes, suspension, or termination of the Services, unless such damages are caused by the Company's intent or gross negligence.

Article 13 (Exclusion of Antisocial Forces)

Users represent and warrant that they are not members of and have no affiliation with any antisocial forces (organized crime groups, etc.) and that they will not engage in any illegal activities such as violence, fraud, or intimidation. Any User found to be in violation of this representation may be subject to suspension of service or termination of membership.

Article 14 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or assign their rights or obligations under these Terms to any third party without the prior written consent of the Company.

Article 15 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court.
